For each deal that we acquire, we purchase the project through a single purpose entity (SPE) LLC that is manager-managed by Thornton Development Group. Our investors invest in a passive position. Upon the funding of their monies, their preferred return schedule starts taking place. The preferred return rate for our investors is 8% annually fee simple interest. Upon the sale of the property, investors will have their initial investment plus their preferred return paid out before Thornton Development Group (the manager) gets paid. The only debt obligations prior to investors getting their initial investment and preferred returns back is the existing mortgage on the property, construction loan, agent commissions, and closing costs. The leftover equity in the deal, also known as the waterfall payout, after all debt obligations have been paid out will then be split based on the syndication terms in Class A (member(s)/investor(s) and Class B (manager/Thornton Development Group) distributions. Depending on the investment percentage of the investors in comparison to the total funds invested, the investor will get that percentage of the leftover equity in the deal through the Class A distribution. Investment cycles range by the deal, but they generally range between 8 and 24 months.
